Misho Terms of Service

These terms are an agreement between Seabraes LLC (“Misho”, “we”) and the business that creates a Misho workspace (the “Customer”, “you”). By creating a workspace or using Misho you agree to them. If you use Misho on behalf of a company, you confirm you are authorized to bind that company.

1. The service

Misho provides an AI-assisted operations service: it receives fault reports and related requests over messaging channels (WhatsApp, SMS, email), triages them, coordinates your team’s work, and communicates with reporters and staff. Features may evolve; we will not materially degrade the core service during a paid term without notice.

2. Accounts and workspaces

You are responsible for the accuracy of your workspace information, for the actions of users you invite, and for keeping credentials confidential. Roles and permissions inside the workspace are yours to manage.

3. Messaging channels

WhatsApp service is provided through the WhatsApp Business Platform: the WhatsApp Business account is registered to you, you hold the billing relationship with Meta for conversation fees, and Misho operates the account on your behalf as a technology provider. You must comply with the WhatsApp Business Terms of Service and related Meta policies (including messaging and commerce policies), and with applicable telecom rules for SMS in your market. We may suspend a channel if a provider requires it or if usage risks platform sanctions for you or for Misho.

4. AI assistance

Misho’s agent drafts and sends operational communications and proposes actions. AI output can be imperfect; irreversible or high-impact actions are gated on approval by your staff, and you remain responsible for decisions taken in your workspace.

5. Your data

You own the content in your workspace. You grant us the rights needed to operate the service (processing, storing, transmitting that content). Our handling of personal data is described in the Privacy Policy. You are responsible for having a lawful basis to process your reporters’ and staff’s data through Misho.

6. Acceptable use

No unlawful content or use, no spam or unsolicited marketing through Misho channels, no attempts to breach workspace isolation or probe the service’s security, and no reselling of the service without our written agreement.

7. Fees

Fees, billing periods, and any pilot arrangements are as agreed in your order with us. Third-party channel fees (for example Meta conversation charges) are yours and are billed to you by the third party.

8. Termination

You may close your workspace at any time. We may suspend or terminate for material breach of these terms, for non-payment, or where required by a platform provider or by law. On closure, workspace data is deleted as described in the Privacy Policy.

9. Warranties and liability

Misho is provided “as is”. To the fullest extent permitted by law, we disclaim implied warranties, and our aggregate liability under these terms is limited to the fees you paid us in the twelve months before the event giving rise to the claim. Nothing here excludes liability that cannot lawfully be excluded.

10. General

These terms are governed by the laws of the State of California, United States, without regard to conflict-of-laws rules. We may update these terms; material changes are notified by email and take effect no sooner than 14 days after notice, except changes required by law or a platform provider.
